Welcome to Fast Track, a service provided by Fintech Harbor Consulting LTD, a legal entity
incorporated and acting under the laws of England, company number 11980929, with its registered
office address at Albert House, 256-260 Old Street, London EC1V 9DD, United Kingdom
(“FHC”, “Company”, “we”, “our”, or “us”). These Terms of Use govern your use of: (i)
the https://fast.fintecharbor.com/fast-track/survey/ website (together, the “Website” or “Site”), (ii)
the Fast track mobile and desktop apps (“Apps”) and all related players, widgets, tools, features,
applications, data, software, and application programming interfaces (“APIs”) (which may also be
subject to a separate API Terms of Use), and (iii) other services as may from time to time be provided
by FHC and its supporting components through the Platform (the “Services”).
These Terms of Use and related sources/documents, all of which are incorporated by reference into
these Terms of Use, constitute a legally binding contract (the “Terms of Use” or “Agreement”)
between you (“User”, “You”) and FHC (and in relation to other Users (as applicable) in relation to
your use of the Website, Apps, APIs, and Services (together, the “Platform”).
These Terms of Use also govern the relationship between you and FHC and other Users (as applicable)
in connection with your personal account on the Platform (“Personal Account/Account”) and/or
uploading documents and/or other materials such as, without limitation, identification files,
agreements and texts (together, “Content”) by means of the Platform.

BY ACCEPTING THESE TERMS OF USE, YOU CONFIRM THAT YOU HAVE READ,
UNDERSTAND AND AGREE WITH ALL PROVISIONS HEREIN.

1. Acceptance of Terms of Use

a) Please read these Terms of Use very carefully. If you do not agree to any of the provisions set out
in those documents, you must not use any component of the Platform. By accessing or using the
Platform, registering an account, or viewing, accessing or uploading any information or Content from
or to the Platform, you represent and warrant that you have read and understood these Terms of Use
and the Privacy Policy, and agree to and will abide by them. You further represent and warrant that
you are at least either 18 years of age or the applicable age of majority in your jurisdiction.
b) If you violate any of these Terms of Use or otherwise violate an agreement between you and us,
the Company may terminate your account, delete your profile and any Content or any other
information you have posted on the Site and prohibit you from using or accessing the Platform or any
part thereof.
c) These Terms of Use are subject to the provisions of the United Kingdom (“UK”) General Data
Protection Regulation (“GDPR”), Data Protection Act 2018 (“DPA”) and other applicable privacy
laws. FHC confirms that Your personal information is processed lawfully, fairly and transparently and
collected only for specific legitimate purpose. The collection of information is adequate, relevant and
limited to what is necessary. The collection of personal information is accurate, and when necessary,
kept up to date. Your personal information stored only as long as is necessary (e.g. for company
registration purposes) and processed in a manner that ensures appropriate security.
d) By reading and accepting this Terms of Use you are providing your consent to process Your
personal data.

2. Changes to Terms of Use

FHC reserves the right to change, alter, replace, or otherwise modify these Terms of Use at any time
in its discretion (for example, without limitation, to address legal or regulatory changes, or changes to
features or functionality made available through the Platform). FHC will announce any such change,
alteration, replacement, or modification reasonably in advance. References in these Terms of Use to
“our discretion,” “FHC’s discretion,” or words of similar import shall be understood to refer to FHC’s
sole discretion as from time to time exercised by Company.

3. Description and procedures of the Platform

Services
The FHC through the Platform is providing Services of the company incorporation in different
jurisdictions. Depending on the chosen service package (i.e. core, prime or exclusive, please note that
the names can be changed or adjusted) such services may or may not include: company name
searching services, annual registered address, correspondence administration, apostille of the
documents and courier delivery, obtaining tax identification numbers, preparation of agreements and
other relevant documents and legal support. For the convenience, herein and further, the chosen
jurisdiction means the jurisdiction in which you chose to incorporate a legal entity through the
Platform with the FHC Services. For the convenience, herein and further, service package means a
package of services provided by FHC through the Platform with specific fee indicated on the Platform
which User is choosing prior to ordering Services and shall pay for them accordingly.

Registration
By entering the Website, User have to either choose the jurisdiction for the company incorporation or
complete the survey to receive a recommendation on the jurisdiction from the Company. User have
to choose the type of the business and write a business description as precise as possible with optional
function to add the business presentation. To proceed further, User have to indicate the shareholders
and directors of the Company and choose the package of services User wants to acquire. The final
step would be providing details of the account (e.g. full name, email, phone and password) after which
the User account will be completed. When you register to use the Platform, you must provide FHC
with your contact information (e.g. full name, email, phone and password). You must ensure that the
email address that you provide is, and remains, valid. Your email address and any other information
you provide about yourself to the Company will be treated lawfully and collected only for the purpose
of the incorporation a legal entity for You. After the completion of the account on the Website, User
will receive an access to the personal account (“Account”).

Completing the order
After setting up an Account the User have to provide alternative names of the company he/she wish
to incorporate, provide the identification documents of the shareholders and directors (e.g. passports
and proof of addresses) and general information on shareholders and directors. To initiate the company
registration process, it is necessary to make payment for the selected company registration package.
Please note that we do NOT store the payment information on your payment methods.

Power of Attorney
In order to successfully incorporate the legal entity on behalf of the User and to provide Services (if
applicable) the User by accepting these Terms of Use is authorizing the FHC to incorporate a legal
entity in chosen by User jurisdiction and to take any actions necessary in order to register, establish
and maintain (if applicable) on behalf of the User any form of company in the chosen jurisdiction and
if necessary sign and execute on behalf of User relevant company documents, including memorandum
and articles of association, board resolution, addendum, partnership agreement, local services agency
agreement on such terms and conditions as are deemed appropriate by FHC and for this purpose to
represent User before any governmental and private organizations. In connection with the above
authorization, the User authorize FHC to do and perform all and every act and thing that User might
or could do if personally present, including signing, endorsing, accepting, receiving, delivering and
executing any and all documents, agreements, affidavits, certificates and any other instruments in
writing of whatever nature and take any action whatsoever FHC believes to be in favor of the User in
order to establish a legal entity for the User. This authorization is valid for as long as the incorporation
process is lasts. In addition, by accepting this Terms of Use the User is accepting and agreeing to the
representative agreement located in the Exhibit A to the Terms of Use.

Company incorporation
After all the information is provided within the Platform and the chosen service package is paid the
User may track the status of the order from the Account. After successful incorporation the User will
receive a separate notification and opportunity to download all the incorporation documents to his/her
computer/mobile device from the Account.

Further usage of the Platform
User have the right to set up new entities in different jurisdictions through the Account following the
mentioned above flow (excluding the Account creation).

Additional Documents
The FHC has the right to request additional information and/or documents from the User in order to
successfully provide User with Company’s Services. In this case the FHC will contact User via
Platform or via email/telephone which User indicated under completion of the Account. It is User’s
sole responsibility to check his/her email/phone/Account for such requests and if User do not answer
to the FHC or/and do not provide such requested information during reasonable time the FHC has the
right to not provide such User with the Services.

Personal Account
You are solely responsible for maintaining the confidentiality and security of your username and
password. You will remain responsible for, and will indemnify FHC against, all losses that may result
from the use of your username and password and all activity emanating from your account, whether
or not such activity was authorized by you. If your username or password is lost or stolen, or if you
believe that your account has been accessed by unauthorized third parties, you agree to immediately
notify FHC in writing and change your password at the earliest opportunity.
FHC reserves the right to disallow, cancel, remove or reassign usernames and permalinks as
appropriate and as determined by FHC in its discretion. FHC may, with or without prior notice,
suspend or terminate your account if activities occur on that account which FHC determines, in its
discretion, would or might constitute a violation of these Terms of Use, an infringement or violation
of the rights of any third party, or a violation of any applicable laws or regulations.
You may terminate your account at any time as described in the Termination section below.

4. Representations and warranties

a) FHC
1) Commits to keeping you informed about application filing and registration, responding to your
inquiries during the incorporation of the entity period.

b) User
1) Agree to cooperate and promptly respond to FHC;
2) Affirm that all information provided to the FHC is accurate and correct;
3) Confirm that you do not violate third party rights by using the Platform;
4) Undertake to update FHC regarding changes to your contact information;
5) Commit to regularly checking the email address provided on the Platform and the Account;
6) Acknowledge sole responsibility for receiving communications sent via email, absolving the FHC
of any non-received emails due to your security or anti-spam software;
7) Acknowledge that your payment for the package is not refundable and FHC is not responsible for
successful incorporation of the entity;
8) Acknowledge that the FHC has the sole discretion to decide whether to file an application and may
decline based on reasons outlined in this Terms of Use, including incomplete or untimely information
provided by you, exceeding the agreement’s scope, or contravening laws and rules;
9) Have all appropriate consents, approvals and authority to make the declarations and to enter into
the agreements as set out in these Terms of Use;
10) Is not a minor under his/her home jurisdiction and at least 18 years old;
11) You must not, and must not permit any third party to:
a) commit or engage in, or encourage, induce, solicit or promote, any conduct that would
constitute a criminal offense, give rise to civil liability or otherwise violate any law or
regulation
b) rent, sell or lease access to the Platform or any Content on the Platform.
c) impersonate any person or entity or otherwise misrepresent your or such third party’s
affiliation with a person or entity, for example, by registering an account in the name of another
person or another company, or sending messages or making comments using the name of
another person.
d) use or attempt to use another person’s account, password, or other information, unless you
have express permission from that other person.
e) sell or transfer, or offer to sell or transfer, any Account to any third party without the prior
written approval of FHC in its discretion.
f) collect or attempt to collect personal data or any other kind of information about other Users,
including, without limitation, through spidering or any form of web scraping.
g) engage in any activity that violates any applicable laws or provisions of regulations relating to
access to the Platform or its use or that violates rights (including intellectual property rights)
of or any third parties or that disparages or discredits any of them in any way.

c) General Representations
1) You agree that FHC may share your order information, uploaded documents (included, but not
limited to ID’s, proof of address and contact information) and other applicable information relating to
your order of Services on our Website with the third parties which are connected with registration of
the legal entity for You (i.e. registered agents, governmental bodies etc.) and vice versa.
2) FHC (or third parties acting on its behalf) may collect information about use of the Platform. Thirdparty
platforms through which you access the Platform (including mobile apps) may collect
information about your use of those platforms and provide such information to FHC. FHC may collect
and use such information in accordance with these Terms of Use
3) You agree to comply with the above conditions at any and all times that you use the Platform, and
acknowledge and agree that FHC has the right, in its discretion, to terminate your account or take such
other action as it sees fit if you breach any of the above conditions or any of the other provisions of
these Terms of Use or violate/are suspected of violating any law.
4) Each User, including You, hereby grants to FHC a limited power of attorney to register a company
on your behalf and/or to make any updates if necessary regarding your Content and/or to file and
execute registration documents on your behalf.
5) You hereby indemnify and hold harmless FHC and its representatives, to the fullest extent permitted
by law, from any and all liability that may arise from any Content uploaded to or from any activity of
Yours on the Platform, including, but not limited to, any claims for infringement of intellectual
property rights, rights of privacy or publicity rights, and any claims relating to the completeness,
accuracy, currency or reliability of any information provided by you on the Platform.
6) FHC cannot guarantee a particular result. There is no guarantee that any legal entity registration
application filed by the FHC will result in the registration of the company. Although the FHC may
offer an opinion about possible results regarding company registration, the FHC cannot guarantee any
particular result. You acknowledge that the FHC has made no promises about the outcome and that
any opinion offered by the FHC in the future will not constitute a guarantee.
7) You assume all risks for technical difficulties in placing your order(s) for Services or submitting
information over the Internet.

5. Currency

The only currency permitted on the Platform is the EUR (€).

6.No legal guidance provided

The Platform is designed to offer you a user-friendly method to explore the variety and characteristics
of the Services we provide, among other things. It furnishes visitors with a broad overview of the
features, attributes, and relative pros and cons of the business entities available under different
jurisdictions. Although this dialogue inherently involves an evaluation or comparison/contract of
overarching legal principles governing the features and structure of different business entities, which
are fundamentally constructs of law, the Platform does not tailor its discourse to the specific
circumstances of any individual or entity.
The Platform itself does not dispense “legal guidance” to any individual or entity. The Platform will
not provide you with legal guidance or legal counsel under any circumstances.
Additionally, no attorney-client or other privilege applies to the communications between you and the
Platform, signifying that any discussions, notes or records, and their contents, may be subject to
disclosure pursuant to a valid subpoena or other judicial disclosure order.
Nothing on this Platform should be considered a replacement for legal guidance, and the Platform
encourages you to consult with FHC lawyers separately should you deem it necessary or appropriate.
The Platform is a document filing service, and you are solely responsible for any actions or inactions
taken based on any information on the Platform.
Nevertheless, some service packages may include legal consulting, You understand that actual legal
services are provided (if applicable) by the employee of the FHC and not by the Platform.

7. Reporting Infringements

If you discover any content on the Platform that you believe infringes any of your rights, please report
this to FHC by sending an email to consult@fintecharbor.com.

8. Third Party Websites and External Services

a) The Platform may provide you with access to third party websites, databases, networks, servers,
information, software, programs, systems, directories, applications, products or services, including,
without limitation, Linked Services (hereinafter, “External Services”). FHC does not have or maintain any
control over External Services, and is not and cannot be responsible for their content, operation or use.
By linking or otherwise providing access to any External Services, FHC does not give any representation,
warranty or endorsement, express or implied, with respect to the legality, accuracy, quality or
authenticity of content, information or services provided by such External Services.
b) External Services may have their own terms of use and/or privacy policy, and may have different
practices and requirements to those operated by FHC with respect to the Platform. You are solely
responsible for reviewing any terms of use, privacy policy or other terms governing your use of these
External Services, which you use at your own risk. You are advised to make reasonable enquiries and
investigations before entering into any transaction, financial or otherwise, and whether online or
offline, with any third party related to any External Services.
c) You are solely responsible for taking the precautions necessary to protect yourself from fraud when
using External Services and to protect your computer systems from viruses, worms, Trojan horses,
and other harmful or destructive content and material that may be included on or may emanate from
any External Services.
d) FHC disclaims any and all responsibility or liability for any harm resulting from your use of
External Services, and you hereby irrevocably waive any claim against FHC with respect to the
content or operation of any External Services.

9. Blocking and Removal of Content

Notwithstanding the fact that FHC has no legal obligation to monitor the Content on the Platform,
FHC reserves the right to block, remove, adapt or delete any Content and/or Accounts at any time (all
or in part), and to limit or restrict access to any Content/Account, for any reason and without liability,
including, without limitation, if it has reason to believe that such Content does or might infringe the
rights of any third party, has been uploaded or posted in breach of these Terms of Use or applicable
law, or is otherwise unacceptable to FHC in its discretion taking into account the relevant User’s
legitimate interests.

10. Repeat Infringers

a) FHC will suspend or terminate your access to the Platform if FHC determines, in its discretion, that
you have breached these Terms of Use.
b) FHC will also suspend or terminate your account without warning if ordered to do so by a court or
other law enforcement authority, and/or in other appropriate circumstances, as determined by FHC in
its discretion.
d) Please note that FHC does not offer refunds to account holders whose accounts are terminated as a
result of repeated infringement or any violation of these Terms of Use.

11. Disclaimers

A) THE PLATFORM (INCLUDING ALL ITS COMPONENTS) AND ALL CONTENT AND
SERVICES ACCESSED THROUGH OR VIA THE PLATFORM ARE PROVIDED “AS IS”, “AS
AVAILABLE”, AND “WITH ALL FAULTS”.

B) FHC AND ITS REPRESENTATIVES HAVE NO LIABILITY WHATSOEVER FOR YOUR
USE OF THE PLATFORM. NEITHER FHC NOR ANY OF ITS AFFILIATES GUARANTEES OR
PROMISES ANY RESULTS FROM THE USE OF THE PLATFORM, INCLUDING, BUT NOT
LIMITED TO, RELATED SOFTWARE. NEITHER FHC NOR ANY OF ITS AFFILIATES
REPRESENTS OR WARRANTS THAT ANY CONTENT, SERVICES, PLATFORM, OR
SOFTWARE FOUND WITHIN ARE ACCURATE, COMPLETE, RELIABLE, CURRENT,
ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THEREFORE,
YOU SHOULD EXERCISE CAUTION IN THE USE AND DOWNLOADING OF ANY SUCH
CONTENT OR SOFTWARE AND USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT
AND REMOVE VIRUSES AND OTHER HARMFUL COMPONENTS. ALL RESPONSIBILITY
OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES OR OTHER HARMFUL
COMPONENTS SOMEHOW ATTRIBUTED TO ANY CONTENT, SERVICES, PLATFORM
AND RELATED SOFTWARE IS DISCLAIMED.

C) NEITHER FHC NOR ITS AFFILIATES MAKES ANY PROMISES, GUARANTEES,
REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER (EXPRESS OR
IMPLIED) REGARDING THE PLATFORM (INCLUDING ALL ITS COMPONENTS), ANY
CONTENT, OR ANY EXTERNAL SERVICES. WITHOUT LIMITATION, NEITHER FHC NOR
ANY OF ITS AFFILIATES WARRANTS THAT:
1) YOUR USE OF THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE OR
ERROR-FREE,
2) ANY PLATFORM DEFECTS WILL BE CORRECTED, OR THE PLATFORM, ANY
CONTENT, OR THE SERVERS ON WHICH THE PLATFORM OPERATES ARE OR WILL BE
FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS,
3) ANY TRANSMISSION OF CONTENT UPLOADED TO THE PLATFORM WILL BE
SECURE OR ANY ELEMENTS OF THE PLATFORM DESIGNED TO PREVENT
UNAUTHORIZED ACCESS, SHARING OR DOWNLOAD OF CONTENT WILL BE EFFECTIVE
IN ANY AND ALL CASES,
4) YOUR USE OF THE PLATFORM IS LAWFUL IN ANY PARTICULAR JURISDICTION,
5) THE QUALITY OF THE PLATFORM AND RESULTS OF YOUR INTERACTION WITH
THE PLATFORM WILL MEET YOUR EXPECTATIONS OR NEEDS,
6) FHC WILL CONTINUE TO PROVIDE OR SUPPORT ANY PARTICULAR OPPORTUNITY
OR FEATURE OF THE PLATFORM.

D) FHC AND ITS REPRESENTATIVES SPECIFICALLY DISCLAIM ALL WARRANTIES AS
STATED IN THE FOREGOING CLAUSES OF THIS SECTION, AS WELL AS ANY OTHER
WARRANTIES NOT SO EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT
PERMITTED BY LAW, INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED
WARRANTIES REGARDING NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS
FOR A PARTICULAR PURPOSE.
e. WHERE THE LAW OF ANY JURISDICTION LIMITS OR PROHIBITS THE DISCLAIMER
OF IMPLIED OR OTHER WARRANTIES AS SET OUT ABOVE, THE ABOVE DISCLAIMERS
MAY NOT APPLY TO THE EXTENT THAT THE LAW OF SUCH JURISDICTION APPLIES TO
THESE TERMS OF USE.

F) IN NO EVENT WILL THE COMPANY, ITS AFFILIATES OR THEIR LICENSORS, SERVICE
PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR
DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN
CONNECTION WITH YOUR USE OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES
LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES OR ANY
SERVICES OBTAINED THROUGH THE WEBSITE OR SUCH OTHER WEBSITES,
INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR
PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN
AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS

G) ALTHOUGH WE TAKE COMMERCIALLY REASONABLE STEPS TO PREVENT SUCH
OCCURRENCE, YOU UNDERSTAND THAT THE COMPANY CANNOT AND DOES NOT
GUARANTEE OR WARRANT THAT FILES AVAILABLE FOR DOWNLOADING FROM THE
WEBSITE OR CONTENT TO WHICH THE WEBSITE LINKS WILL BE FREE OF VIRUSES
OR OTHER DESTRUCTIVE CODE. YOU ARE RESPONSIBLE FOR IMPLEMENTING
SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY YOUR PARTICULAR
REQUIREMENTS FOR ANTI-VIRUS PROTECTION AND ACCURACY OF DATA INPUT
AND OUTPUT, AND FOR MAINTAINING A MEANS EXTERNAL TO OUR WEBSITE FOR
ANY RECONSTRUCTION OF ANY LOST DATA.
WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED
DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL
MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER
PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE
WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO
YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE
LINKED TO IT.
THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER
EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED
TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS
FOR A PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE
EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Limitations of Liability

FHC is not liable for negligence unless such negligence results in injury to life or health. In particular,
FHC is not liable for lost profits unless these are caused by FHC’s willful or grossly negligent
misconduct.

13. Indemnification

You hereby agree to fully indemnify, defend and hold harmless FHC, its representatives, its thirdparty
information suppliers, its independent contractors, from and against any and all liabilities,
damages, costs and expenses (including all legal and professional fees) arising out of or relating to
any claim, action, suit, complaint or other proceeding (which are hereinafter collectively referred to
as “Claim(s)”) brought by a third party and arising in whole or in part from any of the following:
1) any violation by you of these Terms of Use;
2) any violation by you of rights of third parties;
3) infringement of any intellectual property rights or invasion of privacy arising from the hosting
of User content on the Platform;
4) any activity related to your account, your use of the Platform or inability to use it, be it by you
or by any other person accessing your account with or without your consent, unless such activity was
solely caused by the willful or grossly negligent act or default of FHC.

14. Severability

Should any provision of these Terms of Use, or any provision incorporated into these Terms of Use,
now or in the future, be or held to be wholly or partly invalid, ineffective or unenforceable, this shall
not affect the validity, effectiveness or enforceability of the remaining provisions. Any such invalid,
ineffective or unenforceable provision shall, to the extent permitted by law, be deemed replaced, or to
the extent this is not possible, shall be replaced through an agreement in the required form by you and
FHC, by such valid, effective and enforceable provision as comes closest to the intent and purpose of
such invalid, ineffective or unenforceable provision.

15. No Waiver

In the event that either you or FHC fails to exercise any right or remedy contained in these Terms of
Use, that does not mean you or FHC (as applicable) have waived that right or remedy and so shall not
be construed as a waiver.

16. Changes to the Platform, Accounts and Pricing

a) FHC reserves the right at any time and for any reason to suspend, discontinue, terminate or cease
providing access to the Platform or any part thereof, temporarily or permanently, and whether in its
entirety or with respect to individual territories only. In the case of any temporary or permanent
suspension, discontinuation, termination or cessation of access, FHC shall use its reasonable
endeavors to notify registered Users of such decision in advance.
b) You hereby agree that FHC and its representatives shall not be liable to you or to any third party
for any damage or losses incurred with respect to any changes or modifications to the Platform that
FHC may wish to make or makes from time to time, or for any decision to suspend, discontinue or
terminate the Platform or any part or parts thereof, or your ability or inability to use or access the same
from or within any territory or territories.
c) FHC may change the features of any type of account, may withdraw or introduce new features,
products or types of accounts, and may change its fees and price of service packages at any time and
for any or no reason without restriction, always subject to appropriate information and a reasonable
notice period (in FHC’s discretion) giving you the chance to discontinue use of the Platform.

17. Termination

a) You may terminate this Agreement at any time by sending notice in writing to FHC
at consult@fintecharbor.com confirming such termination, or by deleting your Account by using
Platform settings and thereafter ceasing to use the Platform. You may terminate your order and
discharge the FHC at any time by written notice, effective when received. Unless specifically agreed
by the FHC and You in written form, the FHC will provide no further services and advance no further
costs on your behalf after receipt of the notice. If any work was already performed by the FHC prior
to your written notice, you will be limited to only a partial refund. If your application was filed prior
to your written notice and the process of entity registration was started, you will receive no refund.
Upon termination, all Services will be deemed completed.

b) FHC may suspend your access to the Platform and/or terminate this Agreement at any time (i) if
you are deemed to be a Repeat Infringer as described above; (ii) if you are in breach of any material
provision of these Terms of Use (as FHC, in its discretion, shall determine); (iii) if FHC elects in its
discretion to cease providing access to the Platform in the jurisdiction where you reside or from where
you are attempting to access the Platform; or (iv) under any other circumstances as determined by
FHC in its discretion. If your account is suspended or terminated by FHC pursuant to (i) or (ii) above,
you will not be entitled to any refund.

c) Once your account has been terminated, any and all content residing in your account, and all
information pertaining to activity of your account (for example, data relating to the distribution or
consumption of your Content), may be irretrievably deleted from the Platform (except as may be
retained by FHC, in its discretion, in backups or reference copies). You are advised to save or back
up any material that you have in your Account before terminating your Account, as FHC assumes no
liability for any material that is irretrievably deleted following any termination of your Account.

d) If you access the Platform via any of the FHC Apps or via any third party application connected to
your Account, deleting that app will not delete your Account. If you wish to delete your Account, you
will need to do so from the Account page within your Settings on the Website.

e) The provisions of these Terms of Use that are intended by their nature to survive the termination or
cancellation of this Agreement will survive the termination of this Agreement.

f) If, at any point, a conflict of interest is found between you and another party represented by the
FHC, the FHC may either withdraw as counsel or obtain written consent from all parties to proceed.
If a conflict of interest is found which requires the FHC to decline representation, or if both parties
do not consent, the FHC is not obligated to find alternative counsel.

g) If you do not answer for the “Additional Documents” request as described above by the 30th day
after your purchase of the Service, your order will terminate, you will no longer be entitled to
receive Services, and you will not be given a refund.

18. Assignment to Third Parties

FHC may, in its discretion, assign its rights and (where permissible by law) its obligations under this
Agreement, in whole or in part, to any third party at any time without notice, including, without
limitation, to any person or entity acquiring all or substantially all of the assets or business of FHC.
You may not assign this Agreement or the rights and duties hereunder, in whole or in part, to any third
party without the prior written consent of FHC.

19. Entire Agreement

These Terms of Use and all incorporated documents constitute the entire agreement between you and
FHC and any of its representatives with respect to the subject matter hereof, including, without
limitation, your use of the Platform, and supersede any prior agreement between you and FHC and
any of its representatives.

20. Applicable Law and Jurisdiction

a) This Agreement is subject to the laws of England and Wales and you hereby agree to submit to the
exclusive jurisdiction of the courts in England and Wales for resolution of any dispute, action or
proceeding arising in connection with this Terms of Use. This Terms of Use and any action related
thereto are governed by the law of England and Wales, without regard to or application of any conflicts
of laws provisions, or principles, and without regard of your location or nationality.

b) The foregoing provisions of this applicable law and jurisdiction do not apply to/bar any claim in
which FHC seeks equitable relief of any kind. You acknowledge that, in the event of a breach of this
Terms of Use by FHC or any third party, the damage or harm, if any, caused to you will not entitle
you to seek injunctive or other equitable relief against FHC.

c) FHC shall be entitled to file a claim with any competent judicial authority or take any legal
proceedings to obtain injunctive relief or other prohibition against you if FHC deems such actions
necessary or desirable.

21. Disclosures

The Platform is offered by FHC, a limited liability company incorporated in accordance with the laws
of England and Wales.
